2. Acceptance of Terms

• Meta Ads Management: Strategy, setup, and optimization of Facebook and Instagram advertising campaigns.
• Digital Marketing Consultation: Strategic advice on improving online visibility and conversions.

The scope of services for each client will be defined in a separate agreement, proposal, or statement of work.

4. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely information required for service delivery.
• Grant necessary access to advertising accounts, websites, or platforms as required.
• Ensure all content, materials, and assets shared with us do not infringe on third-party intellectual property rights.
• Comply with the terms and policies of relevant platforms, including Google and Meta.
• Make timely payments as agreed in the service agreement.

5. Payments and Fees

Payment terms will be outlined in your individual service agreement or proposal. General terms include:

• All fees are quoted and payable in Indian Rupees (INR) unless otherwise agreed in writing.
• Invoices are due within the timeframe specified in the service agreement.
• Late payments may result in suspension of services.
• Ad spend budgets paid directly to platforms (Google, Meta) are separate from our service fees and are the client’s responsibility.
• Refunds are subject to the terms outlined in the individual service agreement.

6. Intellectual Property

6.1 Our Content: All content on www.outdodigital.com, including text, graphics, logos, and design elements, is the property of Outdo Digital and is protected under applicable intellectual property laws.

6.2 Client Deliverables: Upon full payment of all outstanding fees, ownership of custom deliverables (such as website design files and ad creatives) created specifically for you will transfer to you, as detailed in the service agreement.

6.3 Tools & Processes: Outdo Digital retains ownership of all proprietary methodologies, templates, tools, and processes used in delivering services.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service agreement. We will not share your business data or campaign details with third parties without your prior written consent, except as required by law.

8. Results Disclaimer

While we are committed to delivering high-quality work and measurable results, Outdo Digital does not guarantee specific outcomes, including but not limited to:

• Guaranteed advertising ROI, revenue, or profit.
• Specific rankings on Google or other search engines.
• Specific lead volumes or conversion rates.

Digital marketing results depend on many factors outside our control, including market conditions, platform algorithm changes, and competition.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Outdo Digital shall not be liable for:

• Any indirect, incidental, special, or consequential damages arising from the use of our services.
• Loss of revenue, profits, or business opportunities.
• Any losses arising from changes to third-party platform policies (Google, Meta, etc.).

Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Outdo Digital in the three (3) months preceding the claim.

10. Termination

Either party may terminate the service agreement as specified in the individual service contract. Upon termination:

• All outstanding fees become immediately due and payable.
• We will provide you with your deliverables and data to the extent completed and paid for.
• Access to any accounts or tools provisioned by Outdo Digital on your behalf will be transferred or revoked as appropriate.

11. Third-Party Platforms

Our services involve the use of third-party platforms such as Google and Meta. Your use of these platforms is subject to their respective terms of service and policies. Outdo Digital is not responsible for changes in third-party platform policies, pricing, or functionality that may impact your campaigns or results.

12. Privacy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, available at www.outdodigital.com/privacy-policy. By using our services, you consent to the practices described in our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Karnataka, India.
